Title: Sponsorship Agreement (Sponsorship Contract).
Header: The contracting parties are stated as “Organizer” and “Sponsor.”
Preamble: The preamble (WITNESSETH) is included, in the form of an English-language contract.
“in consideration of” is translated as “in consideration of” or “in consideration of the consideration.” (“Consideration” is a requirement for contract formation under common law.)

Article 1 (Definitions and Interpretation)|第1条(定義及び解釈)
This is the definitions clause.
Here, terms such as “Applicable Law,” “Effective Date,” “Commercial Rights,” “Designation,” “Event,” “Event Mark,” “Force Majeure,” “Intellectual Property Rights,” “Organizer Mark,” “Sponsor Event Materials,” “Sponsor Mark,” “Sponsor Products,” “Sponsor Fees,” “Sponsorship Rights,” “Term,” and “Venue” are defined.
Note that in an English contract, “Schedule” means a separate document or an attached schedule.
Article 2 (Grant of Rights and Reservations)|第2条(権利の許諾及び留保)
The Organizer grants the Sponsor, in accordance with the terms of this contract, a license to use the Event Mark on Sponsor Products and in advertisements for Sponsor Products, as well as other Sponsorship Rights.
Article 3 (Term)|第3条(期間)
The contract term may be extended once if the parties reach agreement.
Article 4 (Sponsorship Fee)|第4条(スポンサー料)
The Sponsor shall pay the Sponsorship Fee to the Organizer in installments and on dates specified in the attached schedule (Exhibit 2).

All amounts payable under this contract shall be paid in full by the Sponsor to the Organizer without any set-off, deduction, or counterclaim.

The Sanctions clause provides that if either party becomes subject to sanctions, the other party may suspend or terminate the contract. This allows termination without the offending party incurring breach liability.

The Anti-Bribery clause prohibits, directly or indirectly, giving money or benefits to foreign government officials or others to secure or maintain business. This clause is included to avoid your own company being implicated if the other party engages in bribery and to uphold compliance.

Article 30 (Governing Law and Jurisdiction)|第30条(準拠法及び裁判管轄)
“This Agreement shall be governed by Japanese law, without regard to the principles of conflict of laws, and interpreted accordingly.”
→“Without regard to the principles of the conflict of laws thereof” translates to “抵触法の原則の適用を排除して”.
A jurisdiction with Japanese governing law would otherwise apply Japanese conflict-of-laws rules unless this clause excludes them.
By providing that the conflict-of-laws principles shall not apply, it is possible to exclude them.
Article 31 (Language)|第31条(言語)
This contract is prepared in English and Japanese, and in case of any discrepancy, the English version shall prevail.
