★ This is a template for the Basic Commissioned Writing Agreement plus an Individual Contract when entrusting writing work to a freelance writer. It is set as a set of basic contract and individual contract samples with the assumption of ongoing transactions.

★ Complies with the “Law for Proper Transactions Between Freelancers and Businesses.”

→ At the end of the basic contract, there is a “Special Clause” containing the following provisions.

・Safety and health (considerations to prevent accidents and harassment)

・Formulation and disclosure of harassment policy

・Consideration for childcare and caregiving

Examples of writing work (text creation tasks) include the following.

(1) Writing tasks related to specific regional information for a travel information site.

(2) Writing tasks for specific information on a website aimed at SEO.

(3) Writing tasks for a blog to promote a specific product (copywriting work).

(4) Writing tasks for a specific column in a magazine.

(5) Writing tasks for a specific chapter in a book on a particular field.

Article 1 (Purpose, Work Content)

Article 1 defines the scope of work.

Paragraph 1: (1)(2)(3): Please specify the content of the work to be entrusted to the Writer (Party B) as related to "...".

Article 2 (Entire Agreement, Additions/Changes to Work, etc.)

Article 3 (Performance Responsibility)

Article 4 (Delivery, Inspection)

Article 5 (Remuneration, Expenses, Payment Method)

Article 5 covers remuneration, expenses, and payment methods.

Paragraph 1: It sets the remuneration for the entrusted work. Here, remuneration is calculated based on the number of characters as counted by the Word file’s character count function.

※ As another example of Paragraph 1, a provision stating “per one unit of published book, a percentage of the main price (including tax)” is also included.

Paragraph 2: It defines the burden of expenses.

Paragraph 3: The Client (Party A) shall pay the Writer (Party B) by transferring to the Writer’s designated financial institution account. (Please align closing dates and payment deadlines with routine.)

※ Additionally, another example where the Writer bears all costs related to performance is included for Paragraphs 2 and 3.

Article 6 (Handling of Rights in Deliverables)

This section covers the handling of rights in deliverables.

Here, copyright and other IP rights are transferred from the Writer (Party B) to the Client (Party A) upon payment of the remuneration, andthe ownership of the media or documents containing the deliverables and their copies (CD-Rs, etc.) also transfers to the Client upon payment of the remuneration.

★ The transfer of copyright must be explicitly stated in the contract.

★ An example is also included for retaining the copyrights and other IP rights by the Writer in the deliverables for Article 6.

※ For the following ordering entities, freelancers are obligated to establish a system for harassment countermeasures.

● Businesses entrusted with freelance work

● Using employees

● A continuous engagement of a certain period

Specific harassment countermeasures include the following efforts.

■ Formulation of harassment policy

■ Establishment of a consultation desk and person in charge, with contact details

■ Conducting a harassment prevention course before filming starts

■ Written dissemination of definitions and examples of harassment

■ Pre-disclosure in writing of the response flow when harassment occurs

There are industry associations that publish guidelines for harassment countermeasures.

Refer to various publicly available guidelines and examples, and consider each film production site establishing its own guidelines.

Article 18 (Consideration for Childcare, etc.)

Under freelance law, if the commissioned work continues for a substantial period, the ordering party is required to take measures to allow the freelancer to balance childcare, caregiving, etc., with work (same law, Article 13).

Individual Contract for Writing Work

This is a sample for an individual contract. It specifies the concrete work content, remuneration, and delivery deadlines; other aspects follow the Basic Contract.

Article 1 (Content of Individual Contract Work)

Article 1 defines the individually commissioned work content.

→ This includes work related to “selection of trend words.”

Article 2 (Remuneration)

Remuneration here is set as “amount ○○ yen (excluding tax).”

→ Alternative remuneration setting: “The Client shall pay the Writer ○○ yen per character (excluding tax) for this individual task. The character count shall be calculated by the Word file’s word count function by the Client.”
